Terms and Conditions

1. Scope and contracting party

These terms apply to all services you book via freedom-formation.com. Your contracting party is Innovatech Consulting LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702, USA ("we", "us"). Freedom Formation is the name under which we offer these services. Deviating terms apply only if we confirm them in writing.

2. Services

What a package includes is stated in the package description on the website at the time of your booking. We provide services: we prepare applications, file them, track them and explain the results to you.

• We owe careful preparation and filing, not a particular outcome. Whether a state registers the formation, the IRS issues an EIN or ITIN, a bank opens an account or a payment provider approves you is decided by those bodies themselves.
• We do not provide legal or tax advice. US tax forms are prepared by a partner tax firm. Questions about your taxes in your country of residence should be clarified with your own tax advisor.
• Content on credit and cashback is guidance and information. We do not broker credit, do not apply for cards on your behalf and do not promise limits, bonuses or returns. Whether you apply for any products, and which ones, is your own decision.
• Consultations are held in German or English.

3. Conclusion of contract

The presentation of the packages does not constitute a binding offer. By clicking the payment button in the checkout, you submit a binding offer. The contract is concluded when the payment is successful; we confirm it by email.

4. Prices and payment

The prices in euros shown at the time of booking apply. The state formation fee is included in the formation packages. Payment is made at booking via Stripe. Annual packages (for example Renewal, Tax) each apply for one year and do not renew automatically.

5. Your cooperation

After payment, we send you an online questionnaire. We start as soon as your information and documents are complete. You are responsible for ensuring that your information is accurate and complete. Delays caused by missing or incorrect information are not our responsibility. If your cooperation is still outstanding more than six months after a reminder, we may terminate the contract; in that case, services already provided and fees already paid to authorities will not be refunded.

6. Exclusion of certain customers

Due to US sanctions, we cannot accept orders from persons residing in sanctioned countries or regions. If this only becomes apparent after payment, we will refund the full amount.

7. Right of withdrawal

If you are a consumer, you have a right of withdrawal. The details are set out in the withdrawal information. If you expressly request that we begin before the withdrawal period expires and you then withdraw, you owe compensation for the services provided up to that point, including fees already paid to authorities. The right of withdrawal expires once we have fully performed the service and you agreed to this beforehand.

8. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health and under mandatory statutory provisions. In cases of slight negligence, we are liable only for breach of a material contractual obligation, and then limited to the damage typically foreseeable for this type of contract. We are not liable for decisions made by authorities, banks and payment providers.

9. Confidentiality and data protection

We treat your information confidentially. How we process data is set out in the privacy policy.

10. Governing law and jurisdiction

These terms are governed by the laws of the State of Florida, USA. If you are a consumer, you retain the protection of the mandatory provisions of the country in which you have your habitual residence. For merchants and legal entities, the place of jurisdiction is Pinellas County, Florida. Consumers may sue and be sued at their place of residence where the law so provides.

11. Language

These terms are available in German, English and Spanish. The version in the language in which you booked is authoritative.

12. Severability

If any provision is invalid, the remaining provisions remain valid. The invalid provision is replaced by the statutory rule.
